By entering the Melio 10K Giveback Promotion (the “Sweepstake”), you will be bound by these Terms & Conditions, and you acknowledge that you satisfy all eligibility requirements set forth below. “Melio” or the “Sponsor” means Melio Payments Inc. (d/b/a Melio) located at 124 E 14th St, Floor 15, New York NY 10003.

Eligibility. The Sweepstake is open only to new Melio users operating in Denver, CO who have opened an Eligible Account using the QR code provided in the “Community Pay It Forward Box” sent to such users. An “Eligible Account” means a Melio account that has (a) successfully completed identity verification steps and has been approved by Melio for registration on meliopayments.com (the “Melio Platform”); and (b) completed payments through the Melio Platform in an aggregate amount of no less $1,000 by January 31, 2023 using the Eligible Account (“Eligible Payments”). Employees, officers, directors, members, managers, agents, and representatives and family members of such individuals (or people living in the same household whether related or not) of Sponsor, or their corporate partners, parent companies, divisions, subsidiaries, affiliates, successors in interest, advertising, promotion, and public relations agencies are not eligible. For the purposes of the Sweepstake, family members are defined as spouse, partner, mother, father, legal guardian, in-laws, grandmother, grandfather, brother, sister, children and grandchildren (including “step” as they may apply).

Prize(s)and Winners Selection Method. The Sponsor will award a prize to up to 10 Eligible Accounts. The prize will be US$ 1,000 in cashback for Eligible Payments, to be provided to the Sweepstake winner(s) through the Melio Platform (the “Prize”).

Sponsor reserves the right to disqualify any entrant or winner and may refuse to award a prize to anyone who is not eligible. If a winner is found to be ineligible or not in compliance with the Sweepstake rules, such winner will be disqualified and an alternate winner will be awarded the prize in a separate random drawing. Each winner will be sent an e-mail notification by the Sponsor. By entering the Sweepstake, you agree to receive e-mail notifications from the Sponsor with respect to the Sweepstake. In the e-mail notification you will be asked to provide proof that you are indeed a Denver, CO business, and you will further be asked to provide an address, and any other information reasonably requested by Melio. Failure to provide an address and the required confirmations within seven (7) days after receipt of such e-mail notification, may result in disqualification of a winner and an alternate winner may be selected in a random drawing at Sponsor’s discretion.

Each prize will be awarded “AS-IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

Additional Terms. Sponsor reserves the right to modify or cancel the Sweepstake at any time. Sponsor and its affiliates are not responsible for: (a) lost, misdirected, late, or incomplete entries; (b) any operation or transmission error, theft, unauthorized access to, or alteration of, entries; or (c) if a prize is returned as undeliverable or if it cannot be delivered due to an act of God, an act of terrorism, civil disturbance or for any other reason. Sponsor may disqualify any individual found to be: (x) tampering with the Sweepstake; or (y) violating these Terms & Conditions. Incomplete and robotic, automatic, programmed or similar entries will be disqualified.

No greater than the number of prizes stated in these Terms and Conditions will be awarded. If any errors occur in the selection of a potential winner Sponsor may award the prize(s) in a random drawing at Sponsor’s discretion. All prizes made available for a Sweepstake may not be awarded in the event Sponsor does not receive a sufficient number of qualified and eligible entries for the Sweepstake.

Miscellaneous. The Sweepstake is governed by the laws of the United States. By entering the Sweepstake, you agree (for yourself and your heirs) that the Sponsor and its affiliates and agents, and any entity involved in any aspect of the Sweepstake (all aforementioned parties are collectively, the “Released Parties”) will have no liability, and will be held harmless from and against liability, loss, injury or damage to property or person, including death, and reasonable attorney’s fees and court costs, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize or participation in the Sweepstake, even if caused or contributed to by the negligence of any of the Released Parties.

IN ADDITION, AS A CONDITION OF PARTICIPATING IN THE SWEEPSTAKE, EACH ENTRANT AGREES TO RELEASE, INDEMNIFY AND HOLD HARMLESS SPONSOR AND ITS RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, DIVISIONS AND ADVERTISING, AND PUBLIC RELATIONS AGENCIES, AND EACH OF THEIR RESPECTIVE AGENTS, REPRESENTATIVES, OFFICERS, DIRECTORS, MEMBERS, SHAREHOLDERS AND EMPLOYEES FROM AND AGAINST ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE SWEEPSTAKE AND/OR THE USE, ACCEPTANCE, POSSESSION, MISUSE OR AWARDING OF ANY PRIZE, AND INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY. EACH WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE.

You agree that Sponsor’s decisions related to the Sweepstake and all aspects of the Prizes are final. Each winner agrees that, by participating in the Sweepstake, Sponsor and its affiliates may use such winner’s name in any manner and in any medium for its promotional purposes without additional compensation, including posting in a winners list, except where prohibited by law, and Sponsor and its affiliates may be required to disclose the winners’ address to state regulatory authorities. In addition, each winner agrees to be interviewed by the Sponsor and permits the Sponsor to publish such interview in any online or offline media property, including without limitation Sponsor’s blog. Any failure by a winner to participate in such interview may disqualify the winner, at the Sponsor’s sole discretion.
