By entering the Melio 2022 Shop Local Ads Raffle (the “Sweepstake”), you will be bound by these Terms & Conditions, and you acknowledge that you satisfy all eligibility requirements. “Melio” or the “Sponsor” means Melio Payments Inc. d/b/a Melio located at 205 Hudson St., 7th floor, New York City, New York, 10013.
- Eligibility
The Sweepstakes is open only to Melio users who have an Eligible Melio Account. An “Eligible Melio Account” means a Melio account that has successfully completed identity verification steps and has been approved by Melio for registration, and is in continued compliance with Melio’s Terms of Service. Employees, officers, directors, members, managers, agents, and representatives and family members of such individuals (or people living in the same household whether related or not) of Sponsor, or their corporate partners, parent companies, divisions, subsidiaries, affiliates, successors in interest, advertising, promotion, and public relations agencies are not eligible. For the purposes of the Sweepstakes, family members are defined as spouse, partner, mother, father, legal guardian, in-laws, grandmother, grandfather, brother, sister, children and grandchildren (including “step” as they may apply).
- Prize(s) and Winner Selection Method
The Sponsor will award a prize to three eligible businesses who enters the Sweepstakes point of entry at: [go.meliopayments.com/smallbusinesseason-shoplocal] (“Sweepstakes Landing Page”). The prize will be a co-branded billboard promoting the winner, for one month in the city in which the winner business is based, to be designed and approved by Sponsor (the “Prize”). All aspects of the Prizes, including branding, design, location and other characteristics, will be decided and approved by Sponsor at its sole discretion.The Sweepstakes Landing Page will specify the Sponsor, describe the Prizes, the information required to be submitted to enter the Sweepstakes, and when the Sweepstakes begins and ends (which may be sooner than the end date and time). Entries may be submitted starting from [July 26], 2022 at 12:00 am EST until [September 12], 2022 at 11:59 pm EST. The potential winners will be selected at random from among all eligible entries received during the eligibility period. Sponsor reserves the right to disqualify any entrant or winner and may refuse to award a prize to anyone who is not eligible. If a winner is found to be ineligible or not in compliance with the Sweepstakes rules, the winner will be disqualified and an alternate winner will be awarded the prize in a separate random drawing. If you are the winner, an e-mail notification will be sent to you by the Sponsor. By entering the Sweepstakes, you agree to receive e-mail notifications from the Sponsor with respect to the Sweepstakes. In the e-mail notification you will be asked to provide an address, and confirmation that you can and will fulfill the obligations relating to the Prize that are described herein. Failure to provide an address and the required confirmations within seven (7) days after receipt of such e-mail notification, may result in disqualification of a winner and an alternate winner may be selected in a random drawing at Sponsor’s discretion.Further, in order to claim the Prize, the winner must fully cooperate with Sponsor in connection with the preparation of all aspects relating to the Prize, including promptly responding to any requests relating to the preparation of the Prize and providing all necessary information and content in relation thereto. Any failure by the Sweepstakes winner to comply with any of the foregoing requirements, as determined by Sponsor at its discretion, will give Sponsor the right to disqualify the winner, withdraw the Prize, and/or cease any activities relating to the preparation or provision of the Prize.The Prizes will be awarded “as is” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Sponsor reserves the right to modify the Prize for a cash award or other award at equivalent value (as determined by Sponsor), in the event that any component of the Prize is not available or cannot be provided, cannot be provided in the location desired by the winner, or for any other reason at Sponsor’s sole discretion.
- Additional Terms
Sponsor reserves the right to modify or cancel the Sweepstakes at any time. Sponsor and its affiliates are not responsible for: (a) lost, misdirected, late, or incomplete entries; or (b) any operation or transmission error, theft, unauthorized access to, or alteration of, entries. Sponsor may disqualify any individual found to be: (x) tampering with the Sweepstakes; or (y) violating these Terms & Conditions. Incomplete and robotic, automatic, programmed or similar entries will be disqualified. All entrants into the Sweepstakes must be Melio account holders in good standing and in compliance with Melio’s Terms of Service, including requirements relating to lines of business supported by Melio. Only three Prizes will be awarded. If any errors occur in the selection of a potential winner Sponsor may award the Prize(s) in a random drawing at Sponsor’s discretion. The Prizes made available for the Sweepstakes may not be awarded in the event Sponsor does not receive a sufficient number of qualified and eligible entries for the Sweepstakes.
- Miscellaneous
The Sweepstakes are governed by the laws of the United States. By entering the Sweepstakes, you agree (for yourself and your heirs) that the Sponsor and its affiliates and agents, and any entity involved in any aspect of the Sweepstake will have no liability for any loss, injury or damage to property or person, including death, and reasonable attorney’s fees and court costs, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the Prize or participation in the Sweepstakes, even if caused or contributed to by the negligence of any of the foregoing parties.
IN ADDITION, AS A CONDITION OF PARTICIPATING IN THE SWEEPSTAKES, EACH ENTRANT AGREES TO RELEASE, INDEMNIFY AND HOLD HARMLESS SPONSOR AND ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, DIVISIONS AND ADVERTISING, AND PUBLIC RELATIONS AGENCIES, AND EACH OF THEIR RESPECTIVE AGENTS, REPRESENTATIVES, OFFICERS, DIRECTORS, MEMBERS, SHAREHOLDERS AND EMPLOYEES (COLLECTIVELY, “RELEASEES”) FROM AND AGAINST ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE SWEEPSTAKES, AND/OR THE USE, ACCEPTANCE, POSSESSION, MISUSE OR AWARDING OF ANY PRIZE, WHILE PREPARING FOR, PARTICIPATING IN AND/OR TRAVELING TO OR FROM ANY SWEEPSTAKES OR PRIZE RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY. THE WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE. FURTHER, THE RELEASEES ARE NOT RESPONSIBLE IN ANY WAY FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY OR THIRD PARTY.
You agree that Sponsor’s decisions related to the Sweepstakes and all aspects of the Prize are final. The winner agrees that, by participating in the Sweepstakes, Sponsor and its affiliates may use the winner’s name in any manner and in any medium for its promotional purposes without additional compensation, including posting in a winner’s list, except were prohibited by law, and Sponsor and its affiliates may be required to disclose the winner’s address to state regulatory authorities. In addition, the winner agrees to permit Sponsor to interview the winner and publish such interview in any online or offline media property, including without limitation Sponsor’s blog. Any failure by a winner to participate in such interview shall disqualify the winner.
