NO PURCHASE OR PAYMENT TO MELIO IS NECESSARY TO ENTER OR WIN.

By participating in the Time In a Box Campaign (the “Campaign”), you will be bound by these Terms & Conditions, and you acknowledge that you satisfy all eligibility requirements set forth below. “Melio” or the “Sponsor” means Melio Payments Inc. (d/b/a Melio) located at 124 E 14th St, Floor 15, New York NY 10003.

Eligibility. The Campaign is open only to new Melio users operating in the United States who have opened an Eligible Account. An “Eligible Account” means a Melio account that has (a) successfully completed the registration and was approved as a Melio user on meliopayments.com (the “Melio Platform”) via a link at the Campaign point of entry at https://go.meliopayments.com/smallbusiness-timeboxes (the “Landing Page”); (b) received an email with a link to the Campaign Quiz (the “Quiz”) and successfully completed the Quiz; and (c) completed one or more payment(s) through the Melio Platform in an aggregate amount of no less $50 by January 31, 2023 using the Eligible Account. Employees, officers, directors, members, managers, agents, and representatives and family members of such individuals (or people living in the same household whether related or not) of Sponsor, or their corporate partners, parent companies, divisions, subsidiaries, affiliates, successors in interest, advertising, promotion, and public relations agencies are not eligible. For the purposes of the Campaign, family members are defined as spouse, partner, mother, father, legal guardian, in-laws, grandmother, grandfather, brother, sister, children and grandchildren (including “step” as they may apply).

Prize(s) and Winner Selection Method. The prize will be a box of goods, delivered to the address provided upon submitting the Quiz (the “Prize”). All aspects of the Prizes, including branding, design, location and other characteristics, will be decided and approved by Sponsor at its sole discretion. The Prizes may be provided via a third-party affiliate of Melio. By participating in the Campaign, each Eligible Account acknowledges, and permits the Sponsor to share any required information provided to the Sponsor in the creation of the Eligible Account to the third-party in order to provide the Prize.

The Sponsor will award up to 300 (three hundred) Prizes to the first 300 (three hundred) Eligible Accounts. The Sponsor reserves the right to disqualify any entrant or winner and may refuse to award a Prize to anyone, for any and no reason. If a winner is found to be ineligible or not in compliance with the Campaign rules, such winner will be disqualified and an alternate Eligible Account, who did not already win a Prize, will be awarded the Prize. Each winner will be sent an e-mail notification by the Sponsor. By entering the Campaign, you agree to receive e-mail notifications from the Sponsor with respect to the Campaign.

Each prize will be awarded “AS-IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Sponsor reserves the right to modify the Prize for a cash award or other award at equivalent value (as determined by Sponsor), in the event that any component of the Prize is not available, cannot be provided, or for any other reason at Sponsor’s sole discretion.

Additional Terms. Sponsor reserves the right to modify or cancel the Campaign at any time. Sponsor and its affiliates are not responsible for: (a) lost, misdirected, late, or incomplete entries; (b) any operation or transmission error, theft, unauthorized access to, or alteration of, entries; or (c) if a Prize is returned as undeliverable or if it cannot be delivered due to an act of God, an act of terrorism, civil disturbance or for any other reason. Sponsor may disqualify any individual found to be: (x) tampering with the Campaign; or (y) violating these Terms & Conditions. Incomplete and robotic, automatic, programmed or similar entries will be disqualified. All entrants into the Sweepstakes must be Melio account holders in good standing and in compliance with Melio’s Terms of Service, including requirements relating to lines of business supported by Melio.

No greater than the number of prizes stated in these Terms and Conditions will be awarded. If any errors occur in the selection of a potential winner Sponsor may award the prize(s) in a random drawing, on a first come first serve basis, or any other method it finds suitable at the Sponsor’s sole discretion. All prizes made available for a Campaign may not be awarded in the event Sponsor does not receive a sufficient number of qualified and eligible entries for the Campaign.

Miscellaneous. The Campaign is governed by the laws of the United States. By entering the Campaign, you agree (for yourself and your heirs) that the Sponsor and its affiliates and agents, and any entity involved in any aspect of the Campaign (all aforementioned parties are collectively, the “Released Parties”) will have no liability, and will be held harmless from and against liability, loss, injury or damage to property or person, including death, and reasonable attorney’s fees and court costs, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize or participation in the Campaign  , even if caused or contributed to by the negligence of any of the Released Parties.

IN ADDITION, AS A CONDITION OF PARTICIPATING IN THE CAMPAIGN, EACH ENTRANT AGREES TO RELEASE, INDEMNIFY AND HOLD HARMLESS SPONSOR AND ITS RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, DIVISIONS AND ADVERTISING, AND PUBLIC RELATIONS AGENCIES, AND EACH OF THEIR RESPECTIVE AGENTS, REPRESENTATIVES, OFFICERS, DIRECTORS, MEMBERS, SHAREHOLDERS AND EMPLOYEES (COLLECTIVELY, THE “RELESEES”) FROM AND AGAINST ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE CAMPAIGN AND/OR THE USE, ACCEPTANCE, POSSESSION, MISUSE OR AWARDING OF ANY PRIZE, AND INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY. EACH WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE. FURTHER, THE RELEASEES ARE NOT RESPONSIBLE IN ANY WAY FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY OR THIRD PARTY.

You agree that Sponsor’s decisions related to the Campaign and all aspects of the Prizes are final. Each winner agrees that, by participating in the Campaign, Sponsor and its affiliates may use such winner’s name in any manner and in any medium for its promotional purposes without additional compensation, including posting in a winners list, except where prohibited by law, and Sponsor and its affiliates may be required to disclose the winners’ address to state regulatory authorities.
